Gearbox Technologies LLC, an Alabama limited liability company (“Gearbox,” “Company,” “we,” “us,” or “our”), operates the Gearbox mobile application and related services (collectively, the “App”). This Privacy Policy describes how we collect, use, store, disclose, and protect information when individuals access or use the App. By creating an account, accessing, or using the App, you acknowledge that you have read, understood, and agree to the practices described in this Privacy Policy. This Privacy Policy is incorporated into and subject to our Terms of Service, and in the event of a conflict, the Terms of Service shall control.

We may collect information that you voluntarily provide to us when you create an account or use the App. Such information may include your name, email address, login credentials, vehicle information (including but not limited to VIN, make, model, mileage, and maintenance history), and any communications you send to us through support channels. If you use AI-powered features within the App, we collect and may store the text of prompts, questions, or other inputs you submit (“User Prompts”), as well as AI-generated responses. You are solely responsible for the accuracy of the information you provide and for ensuring that you do not submit sensitive personal information that is not required for use of the App.

In addition to information you provide directly, we may automatically collect certain technical and usage information when you access or use the App. This may include your IP address, device identifiers, device type, operating system, mobile carrier, usage logs, timestamps, interaction data, crash reports, diagnostic data, and other analytics information. This data is used to maintain security, monitor performance, improve functionality, prevent abuse, and enhance the overall user experience.

If you interact with AI features, your User Prompts and associated responses may be processed by third-party AI service providers under contractual arrangements designed to protect confidentiality and security. We may store User Prompts and responses for operational, quality assurance, abuse prevention, system improvement, and security purposes. You acknowledge that AI-generated responses may be inaccurate, incomplete, or outdated and should not be relied upon as professional, mechanical, safety, or legal advice. You agree not to submit highly sensitive personal information such as Social Security numbers, financial account numbers, medical data, government-issued identification numbers, or other confidential information through AI features or any other part of the App. User Prompts and AI-generated responses may also be used in aggregated or de-identified form to improve system performance, develop new features, and enhance analytics and predictive capabilities.

We use collected information to provide, operate, maintain, and improve the App; to generate maintenance reminders and related services; to respond to inquiries and support requests; to process transactions if applicable; to enforce our Terms of Service; to detect, investigate, and prevent fraud, misuse, or unlawful activity; to comply with legal obligations; and to protect the rights, property, and safety of Gearbox, our users, and others. We may use or share aggregated or de-identified information for business purposes, including analytics, research, product development, and service improvement.

We may aggregate and de-identify information collected through the App, including vehicle data, maintenance history, usage patterns, and User Prompts. This aggregated data may be used for analytics, benchmarking, research, product development, and other business purposes.

We take reasonable measures to ensure that aggregated or de-identified data cannot be used to identify individual users. We do not attempt to re-identify such data and require any third parties who receive aggregated or de-identified data to agree not to attempt to re-identify it.

We may disclose information to third-party service providers that perform services on our behalf, including but not limited to cloud hosting providers, analytics providers, AI processing providers, infrastructure providers, payment processors, and customer support vendors. These providers are authorized to access information only as necessary to perform services for us and are contractually obligated to maintain appropriate confidentiality and security measures. We may also disclose information if required to do so by law, subpoena, court order, or governmental request, or when we believe in good faith that disclosure is necessary to protect our rights, investigate fraud, respond to a security incident, or comply with applicable legal obligations. In the event of a merger, acquisition, restructuring, sale of assets, or similar transaction, user information may be transferred as part of that transaction, subject to applicable law.

Any third parties that receive aggregated or de-identified data are contractually prohibited from attempting to re-identify users or combine such data with other datasets to identify individuals.

By using the App, you acknowledge and agree that your data may be used in aggregated or de-identified form for analytics, product development, and business purposes as described in this Privacy Policy.

We retain information for as long as your account remains active and as reasonably necessary for legitimate business purposes, including security, fraud prevention, system improvement, dispute resolution, and compliance with legal obligations. If you request deletion of your account, we will process the request within a reasonable time; however, certain information may be retained in backup systems, archival storage, or as required by law. Complete removal from backup systems may not occur immediately and may take a reasonable period of time consistent with standard data retention practices.

We implement reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, disclosure, alteration, or destruction. Such measures may include encryption in transit, secure server environments, access controls, and monitoring systems. However, no method of transmission over the internet or method of electronic storage is completely secure. Accordingly, we cannot guarantee absolute security, and you acknowledge that you provide information at your own risk.

The App is not intended for children under the age of 13, and we do not knowingly collect personal information from children under 13 in compliance with the Children’s Online Privacy Protection Act (COPPA). If we become aware that we have inadvertently collected information from a child under 13, we will take reasonable steps to delete such information.

In the event of a data breach involving personal information as defined under applicable law, we will provide notice in accordance with the Alabama Data Breach Notification Act of 2018 and any other applicable legal requirements. Nothing in this Privacy Policy shall be interpreted as creating a contractual obligation to provide notice beyond what is required by applicable law.

Your information may be stored and processed in the United States or in other jurisdictions where our service providers operate. By using the App, you consent to the transfer, storage, and processing of information in such jurisdictions, which may have data protection laws that differ from those of your state of residence.

To the maximum extent permitted by applicable law, Gearbox Technologies LLC disclaims liability for unauthorized access to, or alteration, disclosure, or destruction of, personal information except where such liability cannot be lawfully disclaimed. In no event shall Gearbox Technologies LLC’s aggregate liability arising out of or relating to this Privacy Policy exceed the total amount paid by you, if any, to Gearbox within the twelve (12) months preceding the event giving rise to the claim. All other damages, including indirect, incidental, consequential, special, or punitive damages, are expressly disclaimed to the fullest extent permitted by law.

We reserve the right to update or modify this Privacy Policy at any time. If we make material changes, we may provide notice through the App or by other reasonable means. Continued use of the App after such updates constitutes acceptance of the revised Privacy Policy.

By accessing or using the Gearbox mobile application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the App.

You must be at least sixteen (16) years of age, or have valid parental or legal guardian consent, to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.

Gearbox Technologies LLC is not a mechanic, automotive repair facility, dealership, or licensed automotive professional. All information provided through the App is for informational and organizational purposes only and should not be relied upon as professional mechanical, safety, or legal advice.

Gearbox does not provide mechanical, safety, diagnostic, financial, or legal advice. Users are solely responsible for verifying any maintenance recommendations, alerts, or information obtained through the App with qualified and licensed professionals before taking action. Reliance on any information provided by the App is at your own risk.

AI Features Disclaimer: The App may provide AI-generated insights, recommendations, or responses. These outputs are for informational purposes only and may be inaccurate, incomplete, or outdated. Data Usage: By using the App, you grant Gearbox Technologies LLC a non-exclusive, worldwide, royalty-free license to use User Prompts, vehicle data, and usage data in aggregated and de-identified form to operate, improve, and develop the App and related services.

You agree to provide accurate and complete information when using the App, to maintain the confidentiality of your login credentials, and to accept responsibility for all activities that occur under your account. You further agree to use the App only for lawful purposes and in compliance with all applicable laws and regulations. You shall not attempt to reverse engineer, decompile, disassemble, hack, interfere with, or otherwise disrupt the functionality or security of the App or its related systems.

All content, software, technology, design elements, branding, logos, trademarks, and materials available through the App are the exclusive property of Gearbox Technologies LLC and are protected under United States copyright, trademark, and other applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the App without prior written consent from Gearbox Technologies LLC.

Gearbox Technologies LLC reserves the right, in its sole discretion, to suspend, restrict, or terminate any account or access to the App if a user violates these Terms, engages in fraudulent or unlawful conduct, provides false information, or attempts to disrupt or interfere with platform operations.

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARBOX TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The App and all content, including AI-generated insights, are provided “as is” without warranties of any kind, whether express or implied, including accuracy, reliability, or fitness for a particular purpose.

Users are responsible for ensuring the accuracy of any vehicle or maintenance information they provide. Gearbox Technologies LLC is not responsible for decisions made based on incomplete or inaccurate user-provided data.

To the fullest extent permitted under the laws of the State of Alabama, Gearbox Technologies LLC shall not be liable for any vehicle damage, mechanical failure, personal injury, property damage, loss of data, financial loss, or any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App. In no event shall the total aggregate liability of Gearbox Technologies LLC exceed the amount paid by the user, if any, to Gearbox Technologies LLC during the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Gearbox Technologies LLC, its officers, members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or related to your misuse of the App, your violation of these Terms, or any inaccurate, incomplete, or misleading vehicle information provided by you.

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall first be addressed through good faith negotiation between the parties. If such negotiation fails, the dispute shall be resolved exclusively through binding arbitration conducted in the State of Alabama, with venue in Lee County, Alabama. By agreeing to these Terms, you waive the right to participate in any class action lawsuit or class-wide arbitration.

If any provision of these Terms is found to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Gearbox Technologies LLC regarding the use of the App and supersede any prior agreements, communications, or understandings, whether written or oral.
